litigation as well as general civil litigation.
Corporate and Business Organizations
Firm attorneys provide a full range of services in the Corporate and Business area, including counseling clients in connection with organization, daily business operations, and governance. Firm attorneys will prepare and negotiate purchase/sale agreements, perform and manage legal and regulatory due diligence reviews, and advise directors and officers as to their fiduciary duties and responsibilities. On an ongoing basis,
Firm attorneys advise clients on all aspects of business law, including the requirements of federal, state and local laws, drafting and negotiation of contracts, and the preparation of audit letters and opinion letters. Firm attorneys also commonly attend shareholder and director meetings in order to advise clients with regard to the legal issues confronting them.
Nonprofit and Municipal Law
Firm attorneys serve nonprofit organizations by qualifying organizations as tax-exempt under the Internal Revenue Code, advising nonprofit organizations as to unrelated business taxable income, and assisting nonprofit organizations regarding exemptions for various state and local property and sales taxes. In addition,

Banking Practices, Collections and Foreclosures

programs, including residential real estate lines of credit, performed
loan document review, and litigated truth in lending, general collection,
and the liquidation of collateral cases. Liquidation cases handled have
included multiple collateral cases involving intervening
bankruptcies and third party cases, as well as construction loan
